Terms & Conditions (AGB)
1. General Scope
These Terms & Conditions (“Terms”) govern the provision of services by The Happy Customers UG (haftungsbeschränkt) (“Provider”, “we”, “us”) to its clients (“Client”, “you”). They form the basis of all contractual relationships.
2. Conclusion of Contract
A contract is concluded when the Provider’s written confirmation is issued or services commence. Verbal agreements require written confirmation.
3. Services and Deliverables
Services may include:
Customer support operations
Inbound and outbound communication
Chat, email, and ticket support
Service scopes, SLAs, and KPIs are defined in individual service agreements.
4. Fees and Payment Terms
Fees are agreed upon in writing and invoiced monthly or per project. Payment is due within the agreed period. Late payments incur interest at the statutory rate.
5. Client Obligations
The Client must:
Provide accurate information
Ensure systems access if needed
Respond in a reasonable time
6. Confidentiality
Both parties agree to protect confidential information and not disclose it to third parties without prior consent.
7. Data Protection
Data processing is carried out in accordance with our Privacy Policy. The Client agrees to any data processing required for service delivery.
8. Liability
Provider liability is limited to direct damage caused by gross negligence or intent. Liability for indirect, consequential, or financial losses is excluded where permitted by law.
9. Termination
Contracts may be terminated under the agreed terms with notice. Upon termination, outstanding fees become due.
10. Governing Law and Jurisdiction
These Terms are governed by German law. Disputes are subject to the jurisdiction of the courts in Berlin, Germany.
